Official Terms and Conditions
Sponsor and Brand
This promotional opportunity is sponsored, owned, and administered by CDMA Business Model, LLC (“Company,” “Sponsor,” “we,” “us,” or “our”) for its brand Voice Box Next Gen Sonic AI (the “Brand” or the “Program”).
Purpose of Program
The Voice Box Next Gen Sonic AI Promotional Opportunity (the “Program”) is intended to identify, feature, and promote women in music, radio broadcasting, and DJing for promotional, marketing, media, and related campaign activities connected with the Brand.
Eligibility
The Program is open to women who are eighteen (18) years of age or older at the time of application and who are located in, reside in, work in, or are reasonably available to participate in activities in the Washington, DC area or the New York metropolitan area.
Applicants must be legally eligible to submit materials and participate in promotional activities under applicable law.
How to Apply
Applicants must complete the official application form and provide any requested information, including but not limited to name, contact information, biography, professional background, social media handles, music, videos, photographs, recordings, and other requested materials.
Incomplete, false, misleading, unlawful, infringing, or late submissions may be rejected at the sole discretion of the Sponsor.
No Guarantee of Selection or Engagement
Submission of an application does not guarantee selection, feature placement, event participation, showcase participation, publicity, endorsement, sponsorship, compensation, business opportunity, employment, contractor engagement, or any other benefit.
The Sponsor may accept, reject, suspend, remove, or discontinue consideration of any application at any time in its sole discretion, to the fullest extent permitted by law.
Selection Criteria
This is a promotional opportunity and talent-based program. Selection, if any, shall be based on criteria determined solely by the Sponsor, which may include creativity, originality, professionalism, audience relevance, readiness, availability, quality of materials, and alignment with the Program’s mission and campaign goals.
The Sponsor is under no obligation to disclose scoring, rankings, internal evaluations, or reasons for selection or non-selection.
Applicant Representations and Certifications
By applying, each applicant represents, warrants, certifies, and agrees that:
a. all information submitted is true, accurate, current, and complete;
b. all music, videos, photographs, recordings, performances, graphics, text, likenesses, and other materials submitted are 100% owned by the applicant, or the applicant has obtained all rights, permissions, licenses, and authority necessary to submit them and authorize their use under these Terms and Conditions;
c. the applicant owns or controls all copyrights, neighboring rights, master rights, publishing rights, synchronization rights, performance rights, trademark rights, publicity rights, and all other rights necessary for the Sponsor to use the submission as described herein;
d. the submission does not and will not infringe, misappropriate, or violate any copyright, trademark, privacy right, publicity right, contractual right, or other right of any person or entity;
e. the submission is not defamatory, obscene, unlawful, misleading, harassing, discriminatory, or otherwise inappropriate; and
f. the applicant has the full legal right, power, and authority to enter into and be bound by these Terms and Conditions.
License and Permission to Use Submitted Materials
By submitting an application or any materials in connection with the Program, each applicant grants to CDMA Business Model, LLC, its brand Voice Box Next Gen Sonic AI, and their affiliates, representatives, licensees, successors, assigns, promotional partners, media partners, event partners, and service providers a worldwide, non-exclusive, royalty-free, transferable, sublicensable right and license to receive, access, review, copy, reproduce, edit, adapt, modify, reformat, excerpt, translate, arrange, synchronize, publish, distribute, transmit, stream, publicly perform, publicly display, market, advertise, promote, and otherwise use the applicant’s submitted materials, in whole or in part, in any format or media now known or later developed, for the purpose of supporting, operating, documenting, promoting, advertising, publicizing, and enhancing the Program, the Brand, and related campaigns and initiatives.
This permission expressly includes the right to distribute, modify, edit, and use music and video submissions to best support the Program, related promotions, and associated media and event activities.
Except as otherwise agreed in writing by the Sponsor, no additional compensation, royalties, fees, residuals, or other payments shall be due for such use.
Name, Image, Likeness, and Publicity Release
If selected, featured, or otherwise participating in the Program, the applicant grants the Sponsor and the Brand the right to use the applicant’s name, stage name, image, likeness, voice, performance, biography, approved quotes, and professional identity for editorial, promotional, publicity, advertising, marketing, trade, and related business purposes in connection with the Program and related initiatives, without further approval or compensation unless otherwise agreed in writing.
Music and Content Rights Clearance
Applicants are solely responsible for obtaining and maintaining all permissions, approvals, licenses, releases, clearances, split sheets, producer agreements, sample clearances, featured performer approvals, publishing approvals, master use permissions, and any other consents necessary for lawful submission and authorized use of the submitted materials.
The Sponsor reserves the right to request documentation proving ownership or authorized rights at any time. Failure to provide satisfactory proof may result in rejection, disqualification, or removal from the Program.
Prior Agreements and Existing Network Relationships
Applicants who previously served as independent contractors or who previously worked with CDMA Business Model, LLC, Voice Box Next Gen Sonic AI, or related entities acknowledge that any Non-Disclosure Agreement, Non-Compete Agreement, Confidentiality Agreement, contractor agreement, work-for-hire agreement, or similar agreement already on file remains in full force and effect according to its terms, to the extent enforceable and applicable.
Nothing in these Terms and Conditions waives, replaces, amends, or supersedes any prior written agreement unless expressly stated in a new written agreement signed by an authorized representative of CDMA Business Model, LLC.
No Employment, Agency, or Partnership Relationship
Participation in the Program does not create any employment, agency, joint venture, partnership, representation, management, fiduciary, or independent contractor relationship between the applicant and the Sponsor unless separately agreed in a written contract signed by both parties.
Events, Appearances, and Showcases
Any possible appearance, feature, showcase, interview, campaign activation, event participation, or promotional opportunity is subject to separate invitation, scheduling, availability, eligibility verification, production needs, venue approval, and Sponsor discretion.
Any mention of future events is informational only and does not guarantee booking, appearance, or participation.
Expenses
Unless expressly agreed otherwise in writing, applicants are solely responsible for all costs and expenses related to application, participation, travel, lodging, meals, wardrobe, equipment, production preparation, insurance, taxes, and any incidental expenses.
Use of Logos, Trademarks, and Brand Assets
Applicants, participants, and third parties may not use, reproduce, publish, display, alter, distribute, or otherwise exploit any logo, trademark, service mark, trade name, slogan, design mark, or other brand asset of CDMA Business Model, LLC or Voice Box Next Gen Sonic AI without the Sponsor’s prior express written consent.
Selection for, application to, or participation in the Program does not grant any ownership interest in, license to, or permission to use the Sponsor’s or Brand’s logos, trademarks, or other intellectual property except as expressly authorized in writing. Any unauthorized use is strictly prohibited.
Applicant Intellectual Property; No Transfer of Ownership to Brand Name or Marks
Except for the license granted in these Terms and Conditions, applicants retain whatever ownership rights they lawfully hold in their submitted materials. However, nothing in the Program gives any applicant any right to use the Sponsor’s or Brand’s names, logos, visual identity, trademarks, campaign materials, or brand assets without prior written approval.
Code of Conduct and Removal Rights
The Sponsor reserves the right to reject, suspend, remove, disqualify, or discontinue working with any applicant or participant who:
a. violates these Terms and Conditions;
b. engages in unlawful, abusive, fraudulent, unsafe, or discriminatory conduct;
c. submits false, misleading, or infringing material; or
d. acts in a manner that may harm the reputation, goodwill, operations, safety, or integrity of the Sponsor, the Brand, or the Program.
Compliance with Law and Platform Rules
Applicants are responsible for complying with all applicable laws, regulations, industry rules, music licensing requirements, advertising standards, and platform terms relating to their submissions, statements, and participation.
Indemnification
To the fullest extent permitted by law, each applicant agrees to defend, indemnify, and hold harmless CDMA Business Model, LLC, Voice Box Next Gen Sonic AI, and their affiliates, officers, directors, members, managers, employees, contractors, agents, representatives, partners, licensees, successors, and assigns from and against any and all claims, liabilities, losses, damages, judgments, settlements, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
a. the applicant’s submission or participation;
b. any breach of these Terms and Conditions;
c. any allegation that submitted materials infringe or violate the rights of any third party; or
d. the applicant’s acts, omissions, misconduct, negligence, or misrepresentations.
Disclaimer of Warranties
The Program is offered on an “as is” and “as available” basis. The Sponsor makes no representation or warranty of any kind regarding selection, visibility, exposure, publicity value, audience reach, commercial value, media placement, event opportunities, or professional outcomes.
Limitation of Liability
To the fullest extent permitted by law, the Sponsor shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost opportunities, lost goodwill, reputational harm, or lost data, arising out of or related to the Program.
To the fullest extent permitted by law, the total liability of the Sponsor arising out of or relating to the Program shall not exceed one hundred U.S. dollars (US $100.00), unless otherwise required by applicable law.
Reservation of Rights
The Sponsor reserves the right, in its sole discretion and to the fullest extent permitted by law, to interpret these Terms and Conditions, verify eligibility and submissions, request additional information, reject or remove submissions, revise deadlines, modify requirements, suspend activities, or cancel, discontinue, or amend the Program at any time.
Privacy and Submission Handling
By applying, applicants understand and agree that the Sponsor may collect, store, review, internally share, evaluate, archive, and use application data and submitted materials for Program administration, communications, compliance, evaluation, promotion, and related business purposes.
Applicants should not submit confidential or proprietary materials they are not authorized to share.
Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to the Program or these Terms and Conditions shall be brought exclusively in the state or federal courts located in New York, and each applicant consents to the personal jurisdiction and venue of those courts.
Severability
If any provision of these Terms and Conditions is found invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.
Entire Agreement
These Terms and Conditions constitute the entire understanding with respect to the Program between the applicant and CDMA Business Model, LLC, except for any separate written agreement signed by an authorized representative of the Company.
Acceptance
By submitting an application, materials, or participating in any aspect of the Program, each applicant acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions.
